Terms of Service

1. Agreement to Terms

By using the Space Monkey Mailchimp Dashboard & Analytics Platform ("Service", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Age Requirements

You must be at least 18 years of age to use the Service. If you are between 13 and 18 years of age, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. Users under the age of 13 are not permitted to use the Service under any circumstances.

By using the Service, you represent and warrant that you meet these age requirements. If we learn that we have collected personal information from a user under the age of 13, or from a user between 13 and 18 without proper parental consent, we will take steps to delete that information as quickly as possible. Our Service is intended for business use.

3. Description of Service

Space Monkey is a Software-as-a-Service (SaaS) application that provides a comprehensive Mailchimp dashboard and analytics platform featuring automated data synchronization to your Google BigQuery data warehouse. The Service requires you to provide valid API credentials for Mailchimp and a Service Account JSON for Google Cloud Platform to function. The Service is provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue features of the Service at any time with or without notice.

4. User Accounts and Responsibilities

To access the features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and API credentials.
• Accept all risks of unauthorized access to your account and data environments.
• Promptly notify us if you discover or suspect any security breaches related to your account.

You are solely responsible for ensuring you have the legal right and necessary permissions to extract data from the connected Mailchimp accounts and write data to the connected BigQuery datasets.

Fair Use and Rate Limits

To ensure fair access and protect our infrastructure, the following usage restrictions apply:

• Prohibited Automated Use: You may not use automated tools, scripts, bots, or other automated means to access the Service beyond what is explicitly permitted by your subscription tier. This includes unauthorized bots or scripts for bulk syncs without prior written permission.
• Sync Frequency Compliance: You must respect sync schedule limits associated with your subscription tier. Attempts to circumvent, bypass, or disable rate limiting mechanisms are strictly prohibited.
• Infrastructure Protection: You must not engage in activities that could harm, disable, overburden, or impair our servers or networks, or interfere with other users' access to the Service.
• API Credential Security: You must keep your Mailchimp API keys and GCP Service Account credentials secure. You are responsible for any activity performed using your connected credentials.

5. Subscriptions and Payments

Access to the Service requires an active paid subscription ("Subscription").

Billing

By purchasing a Subscription, you agree to pay the specified fees, billed on a recurring basis. Payments are handled securely by our third-party payment processor, Stripe. You agree to provide current, complete, and accurate billing information.

Cancellations and Refunds

You may cancel your Subscription at any time through your account billing settings. Cancellation takes effect at the end of the current billing cycle. Payments are non-refundable, and we do not provide refunds or credits for any partial subscription periods.

6. Intellectual Property Rights

The Service and its original content, features, and functionality are the exclusive property of iGods Internet Marketing Inc. and its licensors. Our trademarks and brand assets may not be used in connection with any product or service without our prior written consent.

You retain all rights to the data synchronized through the Service. By using the Service, you grant us a limited, temporary license to process, encrypt, transmit, and store your data solely for the purpose of executing the requested synchronization workflows.

7. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service will immediately cease, and active syncs will be halted. Your encrypted credentials will be permanently deleted.

8. Limitation of Liability

In no event shall iGods Internet Marketing Inc., nor its directors, employees, partners, agents, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data loss, data corruption, API quota overages, or other intangible losses resulting from your access to or use of or inability to access or use the Service.

9. Disclaimer

Your use of the Service is at your sole risk. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

The engagement analytics, subscriber insights, and campaign performance data provided by the Service are for informational purposes only and should not be considered professional marketing or business advice.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the province of British Columbia, Canada, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Material changes will be communicated via email or through the Service dashboard at least 30 days prior to taking effect.
